Birdbox is an innovative SaaS platform designed to simplify property management for owners and enhance the rental experience for tenants. Our Services allow property owners to manage properties, lease agreements, and rent collection while enabling tenants to pay rent, submit service requests, and manage their rental experience through our platform.

3. User Responsibilities

• Account Creation and Security: To use certain features of the Services, you may be required to create an account. You agree to provide accurate information during registration and to maintain the security of your account credentials. You are fully responsible for all activities that occur under your account.
• Compliance with Laws: You agree to comply with all applicable local, state, national, and international laws and regulations when using the Services.
• Assumption of Risk: You assume full responsibility for any risks associated with using the Services. Birdbox is not responsible for any issues arising from the use of the platform.

4. Fees and Payments

• Flat Fee: Birdbox charges a flat fee of $100 per month to property owners for managing tenant service requests. This fee is non-refundable and may be subject to change with notice.
• Additional Fees: Additional fees may apply for transactions such as rent payments and for premium services offered to tenants.
• Payment Authorization: By providing payment information, you authorize Birdbox to charge the applicable fees to your payment method. You are responsible for ensuring that your payment information is accurate and up-to-date.

5. Limitation of Liability

• No Warranty: The Services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Limitation of Liability: To the fullest extent permitted by law, Birdbox, its executives, shareholders, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the Services.

You agree to indemnify, defend, and hold harmless Birdbox, its executives, shareholders, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another.

7. Termination

• Termination by User: You may terminate your use of the Services at any time by closing your account.
• Termination by Birdbox: We reserve the right to suspend or terminate your account or access to the Services at our sole discretion, without notice, if we believe you have violated these Terms or engaged in conduct that is harmful to other users, us, or third parties.

8. Governing Law and Dispute Resolution

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the state in which Birdbox is headquartered, without regard to its conflict of law principles.
• Dispute Resolution: Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration under the rules of the American Arbitration Association. The arbitration shall take place in the state in which Birdbox is headquartered.
